1. There are three forms of business ownership:
a) Sole Proprietorship
b) Partnership
c) Corporation
Both General Partnership & Limited Partnership below to the same form of ownership, the Partnership.
If you want to enjoy the simplicity of Partnership, but still want to have your personal assets separated from those of the company's, you may register a Limited Liability Company (LLC). This is still considered a Partnership.
Both S- & C-Corporations are Corporations.
S-Corp doesn't require all shareholders being US Citizens. PRs are OK. The max number of shareholders should be less than, or equal to, 100. This, however, is not a big problem, especially at the beginning. If your company is going to IOP, it is a piece of cake to conver a S-Corp to a C-Corp.
Personally I believe S-Corp is convenient for small buz & startups, if all shareholders are PRs. C-Corp definitely is too expensive.
The downside of LLC is that you cannot easily add new shareholders, for you have to dissolve the existing LLC, and then form a new LLC to add new partners. This is especially inconvenient, say, if you get new investors, for instance, as round B funding.
